SCOPE: Contract for the School of Veterinary Medicine, Clinical Pathology for an Automated Clinical Chemistry Analyzer and Related Consumables.

The chemistry analyzer will be used within the Clinical Pathology Service at the Veterinary Medical Teaching Hospital (VMTH).  The primary use will be for analyzing fluid samples from client animals that are presented for various medical issues at the VMTH.

All shipments of Products hereunder will be made FOB point of origin However, OCD accepts liability per language below:

All shipments of Products hereunder will be made FOB point of origin. Title and risk of loss of Products shall pass to Customer when the Products are delivered to the carrier; however, Company shall secure and maintain, at its expense, insurance for the full replacement cost of all Products shipped hereunder until delivery to Customer.  Freight will be prepaid by the Company and added to invoice, net 30 days.

Customer shall be responsible for inspecting Product shipments upon receipt.  If any Products are damaged or missing from a shipment, and if Customer so indicates on the bill of lading and notifies Company’s Customer Service personnel at 800-828-6316 (Prompt 1) of such loss or damage within 15 days of delivery of the shipment and provides such personnel with any additional information reasonably required for the processing of the claim, then Company’s Customer Service personnel will cause the filing of the claim for such loss or damage and send Customer a Certificate of Destruction for Customer’s completion and signature. 

Upon Company’s receipt of the signed Certificate of Destruction from Customer, Company will ship replacement Products or issue credit to Customer for the missing or damaged Products.  Policies in effect at the Company or its affiliate, as applicable, regarding order, shipping, handling, payment, and return of goods will apply to any such purchase.

Ortho-Clinical Diagnostics standard method of shipment for orders >75 pounds in weight.  Proven to be a very effective means of transportation.  This method provides temperature control to maintain the integrity of the product while in transit.  In addition, it requires less packing material than overnight shipping making it an environmentally friendly alternative and allowing for easier sorting and unpacking.

FedEx Priority Air Service

By 10:30AM next business day following shipment

Ortho-Clinical Diagnostics method of shipment for locations where standard shipping methods don’t apply.

Invoicing: Invoices shall reflect contract pricing.
Return Policy:

Ortho Clinical Diagnostics Customer Service Representatives will arrange for the return (or on-site destruction) of product as a result of any error made by an Ortho Clinical Diagnostics employee or authorized agent.

Ortho Clinical Diagnostics policy does not allow the return of temperature sensitive products to inventory.  This is based on the FDA Quality System Regulations that require that manufacturers maintain documented control of the product to prevent any adverse effects or product deterioration and helps to protect University of Wisconsin  and its patients.  Once temperature controlled product has left the Ortho Clinical Diagnostics facility, the required storage conditions may be compromised; therefore we cannot accept temperature-controlled products for return to our inventory.
